1. Acceptance of Terms

By downloading, installing, accessing, or using the SafePing mobile application ("App") and related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and ClecoTech International Private Limited ("Company," "we," "us," or "our").

If you do not agree to these Terms, you must not use the App or Services.

Please also review our Privacy Policy, which describes how we collect, use, and protect your personal information.

2. Description of Service

SafePing is an emergency check-in application that allows users to:

• Send urgent "ping" notifications to a circle of up to 5 trusted contacts
• Receive high-priority alerts that can bypass Do Not Disturb and silent modes
• Mark themselves as "safe" to stop alerts
• View ping history and contact response status

The Service is designed for personal safety and emergency communication between trusted individuals.

3. Eligibility

By using SafePing, you represent and warrant that:

• You meet the minimum age requirement in your jurisdiction
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the Service under applicable laws
• You will provide accurate and truthful information

4. User Account

4.1 Account Creation

To use SafePing, you must create an account by verifying your phone number via one-time password (OTP). You agree to:

• Provide a valid phone number that you own or control
• Maintain the security of your account and device
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4.2 Account Security

You are responsible for maintaining the confidentiality of your account. We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to safeguard your device or credentials.

5. Acceptable Use

SafePing is designed exclusively for:

• Personal Safety: Alerting trusted family members or friends during emergencies or check-in situations
• Mutual Consent: Communication between individuals who have mutually agreed to be part of each other's emergency circles
• Legitimate Emergencies: Situations where you need to quickly reach someone who may have their phone on silent

You agree to use the Service only for its intended purpose and in compliance with all applicable laws and regulations.

6. Prohibited Activities

You agree NOT to use SafePing for any of the following purposes:

Additionally, you must not:

• Use the Service for any commercial, business, or industrial purposes
• Attempt to reverse engineer, decompile, or hack the App
• Interfere with or disrupt the Service or servers
• Create multiple accounts or share account access
• Impersonate another person or entity
• Upload malware, viruses, or malicious code
• Violate any applicable laws or regulations
• Circumvent any security or access controls

Violation of these prohibitions may result in immediate account termination and may be reported to law enforcement authorities.

7. Device Permissions

SafePing requires certain device permissions to function properly:

7.1 Notifications

We request notification permissions including the ability to display alerts, play sounds, and bypass Do Not Disturb settings. This is essential for the app's core emergency notification functionality.

7.2 Contacts

We request contacts access to help you easily select trusted contacts. This data is processed locally and not uploaded to our servers.

You may deny or revoke any permissions, but this may limit the app's functionality. The core emergency features require notification permissions to work effectively.

8. Emergency Services Disclaimer

You acknowledge and agree that:

• SafePing is a supplementary communication tool, not an emergency response service
• We do not dispatch emergency responders or provide emergency response services
• We cannot guarantee message delivery, notification receipt, or response from your contacts
• Network outages, device issues, or software errors may prevent notifications from being delivered
• Your contacts may not see, hear, or respond to notifications for various reasons

You should never rely solely on SafePing in a life-threatening emergency. Always contact official emergency services when facing immediate danger.

9. Intellectual Property Rights

The SafePing App, including its design, features, content, trademarks, logos, and underlying technology, is owned by ClecoTech International Private Limited and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on your personal device
• Use the App for personal, non-commercial purposes

This license does not include the right to:

• Modify, copy, or distribute the App
• Reverse engineer or extract source code
• Use our trademarks without written permission
• Create derivative works based on the App

10. Third-Party Services

SafePing uses third-party services to operate, including:

• Google Firebase: For authentication, database, and push notifications
• Apple Push Notification Service: For iOS notifications

Your use of these services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY
• UNINTERRUPTED OR ERROR-FREE OPERATION

We do not warrant that the Service will meet your requirements, be available at all times, or operate without errors or interruptions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOAIVERSE & MEDIA PRIVATE LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to your account
• Damages resulting from interruption or cessation of the Service
• Damages resulting from failed or delayed notifications
• Damages arising from reliance on the Service during emergencies
• Any damages exceeding the amount you paid us in the past 12 months (if any)

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless ClecoTech International Private Limited and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws
• Content you submit or share through the Service

14. Termination

14.1 Termination by You

You may stop using the Service and delete your account at any time through the app settings or by contacting us at support@safeping.io.

14.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, including if we believe you have:

• Violated these Terms of Service
• Engaged in prohibited activities
• Created risk or legal exposure for us
• Provided false or misleading information

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our Privacy Policy. Sections that by their nature should survive termination will remain in effect.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Provide notice through the App or via email for significant changes
• Give you the opportunity to review the changes before they take effect

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

1. Informal Resolution: First, contact us at legal@safeping.io to attempt to resolve the dispute informally.
2. Arbitration: If informal resolution fails, disputes shall be settled by binding arbitration in accordance with applicable arbitration rules in India.

16.3 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
